Parts of a Business Plan

  • A copyright or confidentiality notice

Table of Contents

  • A list of the individual sections and their page numbers, starting with the Title Page and ending with a section for Special Materials (references, etc.).

Summary/Overview

  • A brief, but focused statement (a few sentences or paragraphs) stating why the business will be successful. This is the most important piece of a Business Plan because it brings everything together.

Market Analysis

  • Identifies specific knowledge about the business and its industry, and the market (or customers) it serves.
  • An analysis that identifies and assesses the competition.

Description of the Company

  • Information about the nature of the business and the factors that should make it successful .
  • Special business skills and talents that provide the business with a competitive advantage, such as a unique ability to satisfy specific customer needs, special methods of delivering a product or service, and so on.

Organization & Management

  • The company’s organizational and legal structure, Is it a sole proprietorship? A partnership? A corporation? (See: “ Ownership Structures “)
  • Profiles of the ownership and management team: What is their background, experience and responsibilities?

Marketing & Sales

  • The company’s process of identifying and creating a customer base. (See: “ Market Research “)

Description of Product or Service

  • How they will benefit from the product or service?
  • Specific needs or problems that the business can satisfy or solve, focusing especially on areas where the business has the strongest skills or advantages.
  • The amount of current and future funding needed to start or expand the business. Includes the time period that each amount will cover, the type of funding for each (i.e., equity, debt), and the proposed or requested repayment terms.
  • How the funds will be used: For equipment and materials? Everyday working capital? Paying off debt?
  • Explains or projects how the company is expected to perform financially over the next several years. (Sometimes called a “pro-forma projection.”)  Because investors and lenders look closely at this projection as a measure of your company’s growth potential, professional input is strongly recommended.
  • Credit histories (personal & business)
  • Resumes of key personnel and partners
  • Letters of reference
  • Details of market studies
  • Copies of licenses, permits, patents, leases, contracts, etc.
  • A list of business consultants, attorneys, accountants, etc.

JERUSALEM (Reuters) - Top ministers in Prime Minister Benjamin Netanyahu's government rejected Palestinian statehood on Thursday following a Washington Post report that Israel's main ally the United States was advancing plans to establish a Palestinian state.

"We will in no way agree to this plan, which says Palestinians deserve a prize for the terrible massacre they carried out against us: a Palestinian state with Jerusalem as its capital," Finance Minister Bezalel Smotrich said.

"A Palestinian state is an existential threat to the State of Israel as was proven on Oct. 7," he said, adding that he will demand the security cabinet, set to meet later on Thursday, to take a clear position against Palestinian statehood.

The Washington Post reported on Thursday that the United States was working with some Arab countries, including Egypt, Jordan, the United Arab Emirates, Qatar and Saudi Arabia - with which Israel has long sought to establish diplomatic ties - on a post war plan for the region that would include a firm timeline for the establishment of a Palestinian state.

The Palestinian Ministry of Foreign Affairs said any political initiative that did not begin with a Palestinian state as a full member of the United Nations was "doomed to failure".

Echoing Smotrich in separate remarks were National Security Minister Itamar Ben-Gvir, Diaspora Affairs Minister Amichai Chikli, Education Minister Yoav Kisch and lawmaker Matan Kahana, a member of the National Unity Party headed by main Netanyahu challenger Benny Gantz.

"This is a catastrophe, to reward the Palestinians after Oct. 7 by establishing a state," Chikli of Netanyahu's Likud party told Army Radio.

The latest Gaza war erupted on Oct. 7 when Hamas led an attack on southern Israeli towns in which Israeli authorities say 1,200 people were killed and 253 taken hostage.

In the more than 130 days since, Israel has killed more than 28,600 Palestinians, according to Palestinian health authorities, in an unrelenting air, land and sea offensive that has laid much of Gaza to waste and displaced most of its 2.3 million population.

Millions of Palestinians live under varying degrees of Israeli rule but only a fraction are citizens. The Palestinian Authority has for years called for an end to Israel's occupation and settlement expansion in the West Bank - among territories Israel captured in the 1967 Middle East war - where it wants to form a state that includes East Jerusalem and Gaza.

Palestinians and the international community for the most part consider the settlements to be illegal. Israel disputes this, citing historical, biblical and political links to the West Bank and East Jerusalem.

That's because drivers in 10 cities say they won't be working between 11 a.m. and 1 p.m. local time on Wednesday. It's part of a nationwide effort among rideshare drivers trying to bring attention to problems they say they face on the apps, from low pay to having their accounts suddenly deactivated.

"We're sick of working 80 hours/week just to make ends meet, being constantly scared for our safety, and worrying about being deactivated with the click of a button," Justice for App Workers, a group representing 130,000 rideshare and delivery gig workers, said on its website about the strike.

The strike will target multiple major airports, including Newark Liberty International Airport outside of New York City as well as Chicago's O'Hare International Airport.

The Valentine's Day Strike also will affect airports in Austin, Texas; Hartford, Connecticut; Miami; Orlando, Philadelphia; Pittsburgh, Pennsylvania; Providence, Rhode Island; and Tampa, Florida, according to Justice for App Workers.

But Uber brushed off concerns about the strike affecting customers.

"These types of events have rarely had any impact on trips, prices, or driver availability, and we expect the same tomorrow," an Uber spokesperson told Business Insider.

"That's because the vast majority of drivers are satisfied," the spokesperson added, citing an estimate that Uber drivers made "about $33 per utilized hour" last quarter.

A spokesperson for Lyft pointed to recent changes that the company made for drivers, including guaranteeing Lyft workers at least 70% of what riders pay. "We are constantly working to improve the driver experience, which is why just this month we released a series of new offers and commitments aimed at increasing driver pay and transparency," the spokesperson said.

Groups like Justice for App Workers have organized similar strikes in the US in recent years. But as independent contractors, Uber and Lyft drivers don't have the same protections as full-time employees, including federal and state protections around organizing a union and work stoppages.

Gig workers have told BI that making money on apps like Uber, Instacart, Walmart Spark, and DoorDash has gotten harder over the past few years, especially as more people have started working on the apps.

It's also common for gig workers to have their accounts deactivated without explanation by the companies they work for.

Recent laws in cities like New York and Seattle aim to raise pay and offer protections to drivers.

On Nov. 21, 2023, in Notice 2023-74,  the IRS announced that calendar year 2023 would be a transition year for third party settlement organizations (TPSOs). TPSOs, which include popular payment apps and online marketplaces, must file with the IRS and provide taxpayers a Form 1099-K that reports payments for goods or services where gross payments exceed $20,000 and there are more than 200 transactions during the calendar year.

General information FAQs

Q1. what is form 1099-k and why would i receive one (updated feb. 6, 2024).

A1. Form 1099-K, Payment Card and Third Party Network Transactions, is an information return used to report payments you received during the year from:

  • Credit, debit or stored value cards such as gift cards (payment cards)
  • Payment apps or online marketplaces for goods or services (third party settlement organizations or TPSOs)

You should receive a Form 1099-K if you sold a good or provided a service and were paid a gross amount in excess of the reporting threshold through a payment app or an online marketplace or accepted a payment from a payment card. You may have a tax obligation if you had a gain on the sale or received payment for services you provided.

Form 1099-K is an information return that popular payment apps and online marketplaces provide when you use them for selling goods or providing a service. You can use the information on the Form 1099-K with your other tax records to determine your correct tax owed. See Understanding your Form 1099-K for more information.

Third party information reporting for certain payments is required by law and has been shown to increase voluntary tax compliance, improve tax collections and assessments within the IRS, and thereby reduce the tax gap .

Q2. Is there a threshold amount that has to be met before I would receive a Form 1099-K? (updated Feb. 6, 2024)

A2. For payment cards, there is no threshold amount that has to be met to receive a Form 1099-K due to payments received through a payment card transaction. Therefore, if you received $0.01 of payments from a payment card transaction, you should receive a Form 1099-K for those payments.

The federal reporting threshold for TPSOs for calendar year 2023 remains the same as previous years, which is for total gross payments for goods or services that exceed $20,000 and for which there are more than 200 transactions for a payee.  Your state may have a lower reporting threshold for TPSOs, which could result in you receiving a Form 1099-K, even if the total gross payments you received in the year did not exceed the federal reporting threshold.

For background: The ARPA lowered the reporting threshold to impose a reporting requirement on TPSOs on Form 1099-K from gross payments of more than $20,000 and 200 transactions for a payee to gross payments totaling more than $600 (regardless of the number of transactions) for a payee.

For 2022: The IRS issued Notice 2023-10 , which temporarily delayed the enforcement of the lowered reporting requirement on TPSOs only. However, you may have received a Form 1099-K at the lower threshold, despite Notice 2023-10.

For 2023: The IRS determined in Notice 2023-74 that calendar year 2023 will be regarded as another transition year for the new reporting requirements for TPSOs only. However, you may have received a Form 1099-K at the lower threshold, despite Notice 2023-74.

Q3. What qualifies as a payment card? (updated Feb. 6, 2024)

A3. The term “payment card” includes credit cards, debit cards, and stored-value cards (including gift cards), as well as payment through any distinctive marks of a payment card (such as a credit card number).

A payment card is issued according to an agreement that provides all of the following: one or more issuers of the cards; a network of persons unrelated to each other, and to the issuer, who agree to accept the cards as payment; and standards and mechanisms for settling the transactions between the merchant acquiring entities and the persons who agree to accept the cards as payment.

Q4. What is a third party settlement organization (TPSO)? (updated Feb. 6, 2024)

A4. A TPSO is the central organization that has the contractual obligation to make payments to participating payees (generally, a merchant or business) of third party network transactions. An example could include apps used to handle the money transfer between buyers and sellers.

Q5. Does delaying the $600 reporting threshold mean I won’t get a Form 1099-K for gross payments of $20,000 or less? (added Feb. 6, 2024)

A5. Not necessarily. The 2023 federal reporting threshold of over $20,000 and 200 transactions is a reporting requirement for TPSOs, but companies may still send a Form 1099-K for payments for goods or services payments that are less than that amount. For example, you may receive a Form 1099-K from other payment settlement entities, such as merchant acquiring entities.  In addition, those TPSOs that have performed backup withholding under section 3406(a) for a payee during calendar year 2023 must file a Form 945 and a Form 1099-K with the IRS and furnish a copy to the payee if total reportable payments to the payee exceeded $600 for the calendar year.  Also, your state may have a lower reporting threshold for TPSOs, which could result in you receiving a Form 1099-K, even if the total gross payments you received in the year did not exceed the federal reporting threshold.

Q6. Who reports payment card transactions when a payment settlement entity contracts with a third party, such as an electronic payment facilitator, to settle reportable payment transactions? (updated Feb. 6, 2024)

A6 . The entity submitting the instructions to transfer funds to the participating payee's account is responsible for reporting payment card transactions. In this case, the electronic payment facilitator is responsible for reporting because it is the entity submitting the instructions to transfer the funds in settlement of the payment card transactions.

Q7. Do I have to report payments on my tax return if they are not reported on a Form 1099-K? (added Feb. 6, 2024)

A7. Yes, the Form 1099-K reporting threshold doesn’t affect whether payments are taxable or whether a tax return must be filed.

All income, no matter the amount, is taxable unless the tax law says it isn’t – even if you don’t get a Form 1099-K. Income also includes amounts not reported on forms, such as payments you receive in cash, property, or services.

Q8. What is reported on the Form 1099-K? (added Feb. 6, 2024)

A8. The gross payment amount (Box 1a) on Form 1099-K reports the total, or gross, dollar amount of reportable payment transactions. It doesn't include adjustments for fees, credits, refunds, shipping, cash equivalents or discounts. Those items are not income. Taxpayers can deduct those items from the gross amount when including the income on their tax return.

The gross payment amount also does not account for the original purchase price, or basis, of any items sold and whether the items were sold at a gain or loss. For more information on how to establish this basis, go to IRS.gov: Publication 551, Basis of Assets PDF .

Taxpayers will need to use their Form 1099-K with other tax records to help figure and report their correct income on their tax return.

Q9. If I buy an item with a payment card or payment app or use an online marketplace, will I receive a Form 1099-K? (updated Feb. 6, 2024)

A9 . No. You should not receive a Form 1099-K for making purchases. Form 1099-K is used to report certain payments that you received for selling goods or providing services.
