The entity you choose depends on many factors, including the type of business, the number of owners, the initial funding, and how a person may want the tax structure to be set up. The following are the most common types of business entities used:

Limited Liability Company (LLC) – An LLC is the most simple and commonly used type of business entity. It can have one or more partners who own the LLC and may be managed by all members or just specific ones. The most significant advantage is flow-through taxation, where the LLC is not taxed; only the individual members get taxed based on their annual earnings from all income sources.

Corporations: One or more shareholders own corporations, which are more complicated to manage. There are requirements to have annual meetings and documentation, such as corporate resolutions. This structure also does not offer the same flow-through taxation system as the LLC; it uses double taxation, where the corporation is taxed at a corporate tax rate, then the individual shareholders get taxed on the dividends received. Corporations should be established only by persons with more than 100 shareholders or those who are attempting to raise a large amount of investment capital.

Subchapter S Corporation: These entities are similar to a corporation but allow for flow-through taxation. The Internal Revenue Service restricts eligibility to establish a Subchapter S Corporation. These offer additional tax benefits, allowing for specific savings when paying self-employment taxes.

Partnership: A partnership is intended for two or more owners, but it offers no asset protection to individual partners.

It entails getting an EIN/FEIN (Employer Identification Number) from the Internal Revenue Service and a Business License from the Department of Revenue. We also have to draft an operating agreement/partnership agreement/bylaws (depending on the type of entity you choose to create). Your specific business may have other requirements based on the industry.

The Seattle-based parent company behind the viral Stanley tumbler faces more lawsuits accusing it of intentionally misleading consumers about the presence of lead in its products.

Two separate lawsuits filed last week accuse Stanley, which was acquired by Seattle-based PMI Worldwide in 2002, of deceiving customers and failing to disclose the presence of lead in its products, most notably its viral Quencher tumblers. Both class-action complaints were filed in the U.S. District Court for the Western District of Washington.

In January, the company informed its millions of consumers who bought a Quencher tumbler in the past several years that the product contains lead, a toxic heavy metal that can cause a variety of health problems, particularly in children and pregnant people.

Discussion about the product’s safety was spurred in recent weeks, as several widely shared social media posts amplified concerns Stanley cups may contain lead. Some Stanley owners have also posted on social media mixed test results using home kits, which experts say are not reliable, to assess whether there’s lead in any of their cups.

Stanley’s vacuum insulation process uses “an industry standard pellet to seal the vacuum insulation at the base of our products,” according to a statement on its website . The sealing material, it said, “includes some lead.”

Once sealed, the area containing lead is covered with stainless steel, making it inaccessible to consumers. Lead is not present “on the surface of any Stanley product that comes into contact with the consumer nor the contents of the product,” the statement added. PMI did not respond to a request for comment.

The lawsuits allege, though, that if the tumblers are damaged or worn out from washing and use over time, the vacuum seal could break and expose the user to lead.

Both lawsuits were filed by women who purchased a Stanley product from a big-box retailer — a Nevada woman bought one for $35 at Target and a California woman bought a cup at Dick’s Sporting Goods store — and say they wouldn’t have done so if they knew the products contained lead.

The Nevada woman later confirmed the presence of lead with an at-home test, according to the lawsuit.

The lawsuit complaints note Stanley competitors — Hydro Flask, Owala and Klean Kanteen — use lead-free manufacturing processes for their products.

Stanley’s various size, color and design tumblers are uniformly marketed as durable, leakproof and insulated, keeping drinks hot or cold for hours. The products, which are manufactured in Brazil and China, are made of stainless steel and also advertised as BPA-free.

The 40-ounce Quencher tumbler’s recent sales, driven largely by social media, propelled the 100-year-plus Stanley brand’s revenue from $73 million in 2019 to $750 million last year, according to CNBC.

New data from DoorDash shows a stark decline in delivery orders placed in Seattle after the city council's minimum payment law for app-based workers took effect last month.

The Seattle City Council's ordinance requires that app companies that employ "gig workers" as independent contractors must pay the greater of a minimum per-minute amount of $0.44 and a minimum per-mile amount of $0.74, or a minimum per-offer amount of $5. 

In response to the law, DoorDash attached a flat service fee of $5 per order to bring the hourly compensation for workers making deliveries to $26.40 before tips plus mileage – well above Seattle's minimum wage of $19.97 an hour. While the company's "Dashers" make more while making deliveries, that's come at the cost of order volume according to DoorDash.

DoorDash said that its data shows an "unprecedented drop in order volume" since the Seattle ordinance took effect last month. It said that in the two weeks after the changes launched, consumers placed 30,000 fewer orders on the DoorDash marketplace and added that "we expect this volume loss to compound even more over time."

Within that two-week sample following the ordinance's implementation, DoorDash said Seattle businesses missed out on over $1 million in revenue from the DoorDash marketplace. The company said, "At a time when local businesses are having to work harder than ever to keep their doors open, this is a major blow to local commerce in Seattle." 

DoorDash added that its Dashers have been waiting an average of three times longer between offers received to fulfill consumers' orders – meaning there are fewer opportunities for them to get on the clock and earn the minimum of $26.40 per hour while making deliveries. 

"Seattle merchants are now grappling with a significant decline in revenue and lost exposure to new customers," DoorDash said. The company added it's "committed to working with lawmakers to find a practical solution that empowers local commerce, restores access to crucial delivery services, and helps Dashers continue to earn on their own schedules."

Gig workers on platforms like DoorDash, Uber Eats and Instacart have similarly reported a drop-off in delivery opportunities.

Gary Lardibazal, a courier who has worked for such platforms in Seattle, told FOX Business last week that "wait times are half the day" in downtown Seattle even when workers at Amazon and other tech companies are in the office.

"There's reduced orders for drivers and couriers… and there's definitely reduced business for restaurants," he said. Given Seattle's high cost of living and expensive gas prices , he said the sudden decline in the number of deliveries available following the law's implementation is making it harder for couriers and drivers to make a living in the role.

"This is not a livable wage," Lardibazal said, adding that the Seattle City Council should repeal the rule to help delivery workers, consumers and businesses. "It's hurting us, it's hurting the consumer, it's going to close restaurants . Please repeal it."

The Seattle City Council did not immediately respond to a request for comment.

A spokesperson for Seattle's labor standards department told KIRO 7 in a report last week that "it is far too early to make an assessment" about the ordinance's impact.

They added that it had been in effect less than a month at the time of the report, and the "city will be monitoring these and other metrics going forward. The law does not require companies to increase prices for customers."
